- Replaces the Non-Financial Reporting Directive (NFRD)
- Applies to large companies, listed SMEs, and some non-EU firms
- Requires reporting under European Sustainability Reporting Standards (ESRS)
- Reports must be machine-readable and digitally tagged

- €40M+ turnover OR €20M+ total assets
- Listed on an EU-regulated market (including SMEs from 2026)
- Non-EU companies generating >€150M in EU turnover with a subsidiary or branch
